ShSquare, along with its affiliated entities (jointly referred to as "ShSquare," "we," "us," or "our"), delivers a suite of digital tools including URL shortening, creation of custom-branded links, comprehensive link management, link-in-bio solutions, QR code generation, and analytical products and services (collectively, the "ShSquare Services"). You can reach us via email at [email protected] or visit our website at https://sh2.ai. ShSquare is based and operates from Vilnius, Lithuania.

We urge you to carefully review these Terms of Service (referred to as the "Agreement"). This Agreement regulates your access to and utilization of the ShSquare Services and forms a legally binding contract between you and ShSquare. If you consent to this Agreement or utilize the ShSquare Services representing a company or another legal entity, you confirm and guarantee that you possess the legitimate authority to bind said company or legal entity to this Agreement.

                BY CREATING A SHSQUARE ACCOUNT ("ACCOUNT"), OPTING FOR A PAID ACCOUNT, OR BY ACCESSING OR USING
                    THE SHSQUARE SERVICES AND ITS APPLICATION PROGRAM INTERFACES ("API"), YOU ARE CONFIRMING THAT YOU
                    HAVE READ, FULLY UNDERSTAND, AND CONSENT TO BE LEGALLY BOUND BY THE STIPULATIONS OF THIS AGREEMENT
                    AND THE SHSQUARE ACCEPTABLE USE POLICY. IF YOU DISAGREE WITH THESE TERMS, YOU ARE NOT PERMITTED TO
                    ACCESS OR USE THE SHSQUARE SERVICES.
            

THIS AGREEMENT INCLUDES AN ARBITRATION CLAUSE AND A WAIVER OF CLASS ACTION RIGHTS, AS DETAILED IN SECTION 12. YOU CONSENT THAT ANY DISPUTES BETWEEN US WILL BE ADDRESSED THROUGH BINDING, INDIVIDUAL ARBITRATION, AND YOU RELINQUISH YOUR RIGHT TO A JURY TRIAL OR TO ACT AS A PLAINTIFF OR MEMBER IN ANY ALLEGED CLASS ACTION OR SIMILAR REPRESENTATIVE PROCEEDING. (Note: The enforceability of class action waivers can differ by jurisdiction, especially within the European Union.)

1. Scope and Modifications

1.1 Amendments. ShSquare holds the exclusive right to alter or substitute this Agreement at its discretion and at any time. Should we revise this Agreement, we will publish the updated version on our website (https://sh2.ai), amend the "Last Updated" date at the beginning of this document, or inform you of the changes within the ShSquare platform.

1.2 Service Adjustments. ShSquare retains the right to add, remove, suspend, cease, modify, or update the ShSquare Services at any point, as it deems fit.

1.3 Customer Assistance. ShSquare offers a help center for all its users. Further information regarding supplementary support services is available in the help center, accessible via the platform or by contacting [email protected].

1.4 Destination Preview Feature. Specific tiers of ShSquare Services might offer a "Destination Preview." These Destination Preview pages can be viewed by individuals interacting with your link or QR Code before they are redirected to the final URL.

2. Paid Accounts

2.1 Charges. ShSquare provides premium ShSquare Services with enhanced features and capabilities for a fee. By subscribing to a paid account, you commit to paying ShSquare all relevant charges for your chosen ShSquare Services tier. Fees are generally non-refundable, except where mandated by law or explicitly permitted within this Agreement.

2.2 Subscription Duration. Paid account plans will be billed at the rate confirmed at the initial purchase, on a recurring basis aligned with your subscription term, until you initiate a cancellation.

2.3 Payment Process. You will remit payments to ShSquare according to the selected payment interval. Unless stated otherwise, payments are due immediately.

2.4 Taxation. Fees do not include taxes, duties, levies, tariffs, or other governmental charges (collectively, "Taxes"). You are responsible for all Taxes arising from this Agreement or your use of ShSquare Services.

3. Utilization of Services

3.1 Permitted Use of ShSquare Services. Contingent upon the terms and conditions of this Agreement and the full payment of all due Fees, ShSquare grants you a non-exclusive, non-transferable, limited license to access and use the ShSquare Services as per our Acceptable Use Policy.

3.2 Access Credentials Management. ShSquare will furnish you with non-transferable access credentials for ShSquare Services. You must not share these credentials or surpass the user limits of your purchased service tier.

3.3 Compliance Oversight. ShSquare may monitor your usage of ShSquare Services to ensure adherence to this Agreement and our Acceptable Use Policy.

4. Your Services and Content

4.1 Responsibility for Your Services. ShSquare bears no liability for any of your products, content, or services ("Your Services") accessed via or utilizing ShSquare Services.

4.2 License to Customer Materials. You grant ShSquare an irrevocable, perpetual, non-exclusive, sublicensable, transferable, royalty-free, worldwide license to use, copy, import, display, reproduce, perform, distribute, create derivative works from, alter, or modify all URLs and other information you provide to ShSquare ("Customer Materials") for the provision of ShSquare Services.

4.3 Accountability for Customer Content. You are exclusively responsible for all content you upload via the ShSquare Service, or transmit to or share with other users (collectively, "Customer Content").

4.4 Organizational Account Information. As detailed in our Privacy Policy, and where legally permitted, if you register a ShSquare Account using an email address on a domain owned by an organization, we may share your email address and Account information with our sales team and the business.

5. Intellectual Property Rights

5.1 ShSquare Ownership. Excluding Customer Content, Your Services, and Customer Materials, you recognize and concur that ShSquare is the sole and exclusive owner of all rights, title, and interest in and to the ShSquare Services.

5.2 User Feedback. If you offer feedback, request features, changes, or tools, or otherwise provide comments regarding the Service ("Feedback"), such Feedback will be entirely assigned to ShSquare without any requirement for separate compensation.

5.3 General Usage Restrictions. You and your Personnel will not, nor will you allow any third party to: (i) access the Services or export data from them to develop a competing service; (ii) reverse engineer, decompile, or disassemble the ShSquare Services; (iii) transmit harmful or malicious code through the ShSquare Services.

5.4 Technical Limitations. You will not surpass the permitted number and/or frequency of API calls, or other forms of access to or use of ShSquare Services, in a manner that violates the terms of your specific Service tier.

6. Agreement Duration and Termination

6.1 Agreement Term. This Agreement begins on the date You accept it by creating an account or purchasing a paid service tier ("Effective Date") and remains active until terminated according to this Section.

6.2 Right to End Agreement. During the Term, You may terminate this Agreement at any time as specified in Section 2 above. However, You will not receive a refund or reimbursement for any fees paid for the current or any prior billing cycles, unless otherwise mandated by applicable law.

6.3 Termination Rights for EU Consumers. If you are a consumer located in the European Union, you may possess additional statutory rights regarding termination. Please consult the applicable consumer protection laws in your jurisdiction or contact us at [email protected] for further details.

7. Confidentiality Obligations

Confidential Information. Each party (the "Receiving Party") acknowledges that the other party (the "Disclosing Party") has shared or may share business, technical, or financial information related to the Disclosing Party's operations (hereafter "Confidential Information"). The Receiving Party agrees to exercise reasonable care to safeguard such Confidential Information.

8. Data Protection and Privacy

8.1 Adherence to Data Privacy Laws. You explicitly acknowledge and agree that it is your responsibility to comply with all applicable privacy and data protection laws, including the EU General Data Protection Regulation (GDPR).

8.2 Data Processing Agreement. If ShSquare processes Personal Data as a data processor on your behalf, and applicable law mandates a data processing agreement (DPA) to govern such processing, the DPA provided by ShSquare will apply.

8.3 Privacy Practices. ShSquare may collect and process Personal Data concerning you, your personnel, and/or other representatives in relation to the Service. This processing is detailed in ShSquare's Privacy Policy.

9. Representations and Warranties

9.1 Warranties Regarding Content. You represent and warrant that Customer Content, Customer Materials, and all information you provide in connection with the Services will not infringe or violate any third-party rights.

9.2 Additional Warranties. You further represent and warrant that you have implemented industry-standard security measures to protect the security and integrity of the ShSquare Services.

9.3 DISCLAIMERS OF WARRANTIES. SHSQUARE SERVICES ARE OFFERED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED. THIS INCLUDES, BUT IS NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

10. Indemnification

User Indemnity. You agree to defend, indemnify, and hold harmless ShSquare, its parent companies, subsidiaries, affiliates, and their respective employees, officers, directors, representatives, contractors, customers, business partners, successors, and assigns ("ShSquare Indemnitees") from and against any third-party claims, actions, and resulting damages, liabilities, and costs.

11. Limitation of Liability

11.1 Scope of Liability Limitation. UNDER NO CIRCUMSTANCES SHALL EITHER PARTY BE LIABLE FOR ANY LOST PROFITS, DATA LOSS, COST OF OBTAINING SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, COMPENSATORY, OR CONSEQUENTIAL DAMAGES OF ANY KIND.

11.2 Aggregate Liability Cap. EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED AN AMOUNT EQUAL TO THE TOTAL FEES RECEIVED BY SHSQUARE FROM YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Governing Law, Jurisdiction, and Dispute Resolution

12.1 Applicable Law and Jurisdiction. This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Lithuania. Any dispute shall be definitively resolved by the competent courts of Vilnius, Republic of Lithuania.

12.2 Time Limit for Claims. Any claim or cause of action must be initiated within one (1) year after such claim or cause of action arose.

12.3 Dispute Arbitration; Waiver of Class Actions.

The parties will endeavor to resolve any disputes amicably through direct negotiations.
If a Dispute cannot be amicably resolved within thirty (30) days, either party may choose to have the Dispute finally settled by binding arbitration conducted by the Vilnius Court of Commercial Arbitration (VCCA).
To the extent permissible under applicable law, you and ShSquare concur that each party may bring claims against the other only in an individual capacity.
Notwithstanding the above, either party retains the right to seek injunctive or other equitable relief from a court of competent jurisdiction in Vilnius, Lithuania.
